2. No Franchise or Business-Opportunity Relationship

Nothing in the Terms of Service, the Privacy Policy, this Disclosures page, or any related agreement constitutes the offer or sale of a “franchise” as defined by the U.S. Federal Trade Commission Franchise Rule (16 C.F.R. Part 436), nor a “business opportunity” as defined by the FTC Business Opportunity Rule (16 C.F.R. Part 437), nor a “franchise” or “business opportunity” under any Texas statute or regulation. The relationship between Company and the user is that of a software-as-a-service vendor and a paying customer.

Company does not: (a) grant the user the right to use Company’s trademarks as a method of operating the user’s business; (b) prescribe a marketing plan or system that the user must follow; or (c) require the user to make a fee payment in exchange for the right to enter into a business of selling goods or services. Use of the QuotesFlow platform is a software subscription, nothing more.

3. Texas Deceptive Trade Practices Act (DTPA) Notice

The Texas Deceptive Trade Practices–Consumer Protection Act, Texas Business & Commerce Code §§ 17.41 et seq. (the “DTPA”), does not generally apply to transactions in which the user is a business with assets of $25 million or more or that is part of a corporate family with combined assets of $25 million or more. For all other users:

• Nothing in these Terms is intended to waive or limit any non-waivable consumer right under the DTPA;
• However, to the maximum extent permitted by Texas Business & Commerce Code § 17.42, and where the user is acquiring the Platform for a business purpose for total consideration in excess of $500,000 (excluding the value of any consumer’s residence), the user knowingly waives the provisions of the DTPA, with the user represented by independent counsel of its choosing;
• This DTPA notice does not, and is not intended to, expand any rights of any user beyond what the DTPA provides as a matter of law.

4. Independent-Contractor Relationship

Company and the user are independent contractors. No partnership, joint venture, employment, agency, or fiduciary relationship is created by use of the Platform. Neither party has the authority to bind the other, and neither party will represent otherwise to any third party.

5. No Professional Services

Company is a software-as-a-service provider. Company is not a contractor, engineer, architect, public adjuster, insurance broker, licensed real-estate professional, financial advisor, or law firm. Nothing on the Platform constitutes contractor, engineering, architectural, public-adjusting, insurance, real-estate, financial, or legal advice. Any contractor, professional-services, or legal advice should be obtained from a licensed professional of your choosing.

6. No Insurance Claim Adjusting

Company’s platform is not designed for, and may not be used as, a substitute for licensed public-adjuster services under Texas Insurance Code. Users are solely responsible for ensuring that any insurance-claim-related activity is conducted by licensed and authorized persons.
