Contractor Licensing & Compliance Addendum
Effective Date: June 8, 2026
You are the licensed professional, not Company. Nothing in the QuotesFlow platform substitutes for your obligation to maintain a current contractor registration/license, valid liability insurance, valid workers’ compensation coverage, and full compliance with the laws of every jurisdiction in which you operate.
1. Purpose
This Contractor Licensing & Compliance Addendum (the “Addendum”) is incorporated by reference into the Terms of Service between you and QUOTESFLOW AI ROOFING LLC (“Company”). It clarifies the contractor-specific representations, warranties, and obligations that apply to every user of the QuotesFlow platform (the “Platform”).
2. Representations & Warranties
You represent and warrant on a continuing basis that, with respect to every jurisdiction in which you use the Platform to solicit work, prepare a quote, perform work, or contract with a homeowner:
- You hold a current and valid contractor license or registration required by the State of Texas (including, where applicable, registration with the Texas Department of Licensing and Regulation or any city/county licensing authority) and by any other state in which you operate;
- You maintain commercial general liability insurance with limits not less than those required by applicable law and by reasonable industry practice;
- You maintain workers’ compensation insurance as required by Texas Labor Code or analogous statute for any state in which you employ workers;
- You comply with all local building codes, permitting requirements, and consumer-contract disclosure laws, including any “roofing contract” statute, three-day right of rescission, or insurance-claim disclosure required in Texas or other states;
- You have not been the subject of any administrative or criminal action by a state contractor-licensing board, insurance regulator, attorney general, or consumer-protection agency in the past five (5) years, except as has been previously disclosed to Company in writing.
3. Texas Roofing-Contract Disclosures
Texas law (including but not limited to Texas Business & Commerce Code Chapter 27 and various Texas insurance-claim statutes) imposes specific obligations on roofing contractors entering into contracts with homeowners involving insurance proceeds. Without limitation, you are solely responsible for ensuring that every contract you deliver to a homeowner:
- Discloses, where applicable, the homeowner’s statutory right to cancel within the period required by Texas law if the contract is funded in whole or in part by an insurance claim;
- Does not constitute the unauthorized practice of public adjusting in violation of Texas Insurance Code;
- Does not waive or rebate the homeowner’s insurance deductible in violation of Texas law;
- Identifies the licensed contractor performing the work, the contractor’s license number where required, and the contractor’s liability and workers’-comp carriers as applicable;
- Otherwise complies with all federal, state, and local roofing-contract disclosure laws applicable in the jurisdiction of the property.
4. Insurance & Bonding Documents
Where you populate the QuotesFlow company-profile fields (license number, license state, liability-insurance carrier and policy number, workers’-comp carrier and policy number, certificate-of-insurance details), you represent that the information is accurate and current as of the date of entry. You will update those fields promptly upon any lapse, suspension, cancellation, or change. Company is not your insurance broker, registered agent, or compliance auditor and does not independently verify the information you provide.
5. Subcontractors & Crew
You are responsible for the conduct of every subcontractor, crew member, sales representative, canvasser, or other person who accesses the Platform through a seat on your account or who acts on your behalf in connection with a lead, outreach, or quote. You will ensure that each such person is properly licensed (if required), insured, and trained on the requirements of the Acceptable Use Policy and applicable law.
6. Indemnification
You agree to defend, indemnify, and hold harmless Company and its affiliates from any third-party claim arising out of (a) your failure to hold or maintain any required license, registration, bond, or insurance; (b) any contract you deliver to a homeowner regardless of whether the contract was prepared with the assistance of AI Outputs; (c) any insurance-claim activity in which you participated; or (d) any other violation of contractor-licensing law, consumer-contract disclosure law, or Texas Insurance Code by you, your employees, your subcontractors, or your agents.
7. Suspension on Loss of License
If Company receives credible information that your contractor license has been suspended, revoked, or has lapsed, or that any required insurance has been canceled, Company may, without notice, suspend your account until you provide reasonable proof of cure. Company’s exercise (or non-exercise) of this right does not waive any other right or remedy.
8. Independent Contractor; No Agency
You and Company are independent contractors. Nothing in these Terms or this Addendum creates any employer-employee, partnership, joint-venture, agency, franchise, or fiduciary relationship between you and Company. You are not authorized to make any representation, warranty, or commitment on Company’s behalf, and Company is not authorized to make any representation, warranty, or commitment on your behalf to any homeowner or insurer.
